First, when an owner is selling his business, he is not selling to customers. Assuming a conservative multiple on the sale of your profits of 3 times EBITDA, let’s compare the value of your time spent. When you are selling your business, you are getting 1 dollar for every dollar you negotiate. When you drive a dollar of profit to the bottom line, you receive three dollars for every dollar you earn. If the deal is loaded with price adjustments and other warranties of performance, you might have a very poor deal at a very high price.



When you add terms to a deal, you not only affect the value of the dollar you might receive, you affect the risk that you’ll even receive it, you affect the quality of the dollar, its tax rate, who’s earned it, and how it might multiply or disappear. When you add to this other non-monetary terms like your future commitment to the business, your role if you stay, your participation in future business endeavors or acquisitions, your chance to possibly enjoy a second liquidity event at some later date, your ability to swap stock or create value in ways that don’t increase transaction value... well, there is just a lot to consider, and price starts to become one of many variables.



Is price important? Yes, but it is certainly not the only consideration.
